Incorporation
“In India, company incorporation is governed by the Companies Act, 2013. The process of incorporating a company involves several steps and requirements.
Here is an overview of the key steps involved in company incorporation under the Companies Act, 2013:
1.Obtain Digital Signature Certificate (DSC): The first step in the company incorporation process is to obtain a Digital Signature Certificate (DSC) for all the proposed directors of the company. This is necessary for digitally signing the incorporation documents.
2.Obtain Director Identification Number (DIN): Next, the proposed directors need to apply for Director Identification Number (DIN) from the Ministry of Corporate Affairs (MCA).
3.Name Reservation: The next step is to apply for the reservation of the company name. The proposed name of the company should comply with the naming guidelines provided in the Companies Act, 2013.
4.Drafting of Incorporation Documents: Once the name is approved, the next step is to draft the Memorandum of Association (MoA) and Articles of Association (AoA) of the company.
5.Filing of Incorporation Documents: The final step is to file the incorporation documents, along with the necessary forms and fees, with the Registrar of Companies (ROC). The ROC will verify the documents and issue the Certificate of Incorporation once everything is in order.
6.Post-Incorporation Compliance: After the company is incorporated, there are several post-incorporation compliance requirements that need to be met.”
